Representations & Warranties Insurance ("Reps") - Insures loss resulting from an inaccuracy in the seller's representations and warranties made to the buyer in a merger or acquisition. Reps can be Seller-based (indemnifying the seller for its indemnity obligations owed to the buyer) or Buyer-based (providing first-party coverage to a buyer, allowing an amount of escrow or indemnification ceiling).
Tax Insurance - Insures loss from the failure to achieve certain expected tax consequences.
